TERMS OF SERVICE

IMPORTANT – READ CAREFULLY BEFORE USING THIS ALPIK SOFTWARE

These Terms of Service (« Terms ») govern the use of the ALPIK software-as-a-service (« Service ») provided by DATALPS, a French corporation (« Company »). By accessing or using the Service, the customer (« User ») agrees to be bound by these Terms.

1. Scope of Service

ALPIK is a SaaS platform offering mapping and location-based services, including offline data access and device rental. The Service is provided on a subscription basis and may include the use of Company-owned devices.

2. Service Level Commitment

Company will use commercially reasonable efforts to ensure the availability and performance of the Service. However, Company does not guarantee uninterrupted access or a specific uptime percentage. The Service may be subject to maintenance, updates, or unforeseen disruptions.

3. Payment Terms

  • Subscriptions are billed annually in advance.
  • Payment must be received before the start of the subscription period.
  • Failure to pay on time will result in suspension of the Service.
  • Reactivation of suspended services will incur a fee equal to half a year’s subscription per device or gateway.
  • If payment is not received within one month of the due date, the Service will be permanently disconnected, and the full annual fee remains due.

4. Subscription Renewal and Cancellation

  • Subscriptions automatically renew annually.
  • Users must notify Company of cancellation at least three (3) months prior to the renewal date.
  • Failure to cancel within this period will result in automatic renewal and billing for the next term.

5. Device Rental Terms

  • Devices provided by Company remain Company property.
  • Users are responsible for the care and return of rented devices.
  • If a device is damaged or not returned, User agrees to pay an additional fee equal to one year’s rental per device.

6. Intellectual Property

All rights, title, and interest in the Service, including software, content, and documentation, remain with Company and/or its licensors. Users are granted a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms.

7. Data Protection

Company processes personal data in accordance with applicable laws, including the General Data Protection Regulation (GDPR). Please refer to our Privacy Policy for details.

8. Termination

Company may terminate access to the Service at any time for breach of these Terms or non-payment. Upon termination, User must cease all use of the Service and return any rented devices.

9. Governing Law

These Terms shall be governed by and construed in accordance with the laws of France. Any disputes shall be subject to the exclusive jurisdiction of the courts of France.
